QuotaSpot Software Licence
Effective date: [EFFECTIVE DATE]
This licence is an agreement between you and Emad Alghail ("we", "us"), the developer of QuotaSpot. It covers:
- the QuotaSpot kit - the scripts (shell, PHP, SQL), configuration files, guides and screenshots in the kit download; and
- QuotaSpot Setup - the desktop app for Windows and Linux that installs the kit on a router.
Together we call these "the Software". By installing or using the Software you agree to this licence. If you do not agree, do not use it and ask for a refund (see the Refund Policy).
Third-party software (such as OpenWrt, openNDS, PHP and SQLite) is not covered by this licence. See section 9.
1. Words we use
- Router - a router on which the QuotaSpot portal is installed and running, together with any access points or Wi-Fi networks that hang off it.
- You - the person or business that bought the licence. If you buy for a business, you confirm you are allowed to accept this licence for it.
- Client - a business for which you install QuotaSpot as a technician or installer.
2. What you may do
We give you a non-exclusive, non-transferable licence to:
- Install and use the Software on as many routers as you like. There is no limit on the number of routers, sites or locations.
- Install it for your own business or for clients, including for pay. If you are a technician or installer, you may install QuotaSpot on your clients' routers and charge your clients for your work (installation, configuration, support or a router you supply). After you hand a router over, your client may keep using QuotaSpot on that router under this licence. Your client does not receive a copy of the kit or the app to install elsewhere; if they want to install QuotaSpot on other routers themselves, they need their own licence (or you can install it for them).
- Change it. You may modify the kit (for example the login page wording, colours or default allowances) for the routers you install it on.
- Keep backup copies of the downloads for your own use.
There is no licence key and the Software never contacts us to check your licence.
3. What you may not do
You may not:
- sell, rent, share, give away, publish or otherwise redistribute the Software's files (the kit zip, the scripts, the guides or the QuotaSpot Setup app) or any part of them, changed or unchanged, except as installed and running on a router;
- publish or sell the Software or anything derived from it as a product, template, script pack, firmware image or service that competes with QuotaSpot (for example: uploading the kit to a public repository, a marketplace or a forum, or reselling it under another name). Installing QuotaSpot on routers for clients, as allowed in section 2, is not a competing service;
- remove or hide our copyright notices or the third-party licence notices;
- use the Software in a way that breaks the law.
Selling or handing over routers on which you have installed QuotaSpot is allowed. What is not allowed is passing on the files themselves, so that others can install QuotaSpot without buying it.
Free and open-source components (see section 9) are licensed under their own licences, and nothing in this section limits what those licences allow you to do with them.
4. Who owns what
We (or our licensors) own the Software and all rights in it. You buy a licence to use it, not the Software itself. Your changes to the kit remain subject to this licence. Your own content (your business name, logo, guest accounts, settings) belongs to you.
5. How long the licence lasts
- Forever for the version you bought. Your licence to use the Software you downloaded does not expire, as long as you follow this licence.
- Updates for 12 months. Any updates we release during the 12 months after your purchase date are included. We do not promise a particular number of updates or a release schedule. After 12 months you may keep using the last version you received. We may offer paid update renewals, but we are not obliged to.
- Updates follow the same licence. Updates replace or add to the Software and are covered by this licence (or by the version of it published with the update).
6. Ending the licence
- The licence ends automatically if you break it in a material way and do not fix the breach within 14 days after we tell you about it by email (or immediately, if the breach cannot be fixed, such as publishing or reselling the kit).
- The licence ends if you get a refund (see the Refund Policy).
- When the licence ends, you must stop using the Software and delete your copies. Sections 4, 7, 8, 10 and 11 continue to apply after it ends.
- Installs on clients' routers made before the licence ended in a lawful way (not in breach and not refunded) may keep running.
7. No warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR THAT IT WILL WORK WITHOUT ERRORS OR INTERRUPTIONS.
In plain words: QuotaSpot runs on routers and networks we cannot see or control. We test it carefully, but we do not promise it will work on your router, with your internet connection or with every guest device. In particular:
- the GL.iNet firmware switch in QuotaSpot Setup is a beta feature and can leave a router unusable if it is interrupted;
- data allowances are checked about every 15 seconds, so guests can go slightly over;
- the login page uses plain HTTP, like most captive portals;
- we make no claim that QuotaSpot makes you compliant with any law or standard.
Please read the Disclaimer, which forms part of this licence.
Some countries do not allow some warranties to be excluded. In those countries the exclusions above apply only as far as the law allows. This does not affect rights you have under the law of your country.
8. Limitation of liability
As far as the law allows:
- we are not liable for indirect or consequential loss, including lost profits, lost revenue, lost data, business interruption, a damaged or unusable router, internet bills or fines; and
- our total liability for everything to do with the Software is limited to the amount you paid for your licence.
Paid services such as Remote setup are covered by the Terms of Sale, including their own limit of liability.
Nothing in this licence limits liability that cannot be limited by law (for example, in many countries, liability for death or personal injury caused by negligence, or for fraud).
9. Third-party software
QuotaSpot works together with free and open-source software made by others, including OpenWrt, openNDS, uhttpd, PHP and SQLite on the router, and the Go programming language libraries inside QuotaSpot Setup. That software is licensed by its own authors under its own licences, not by us, and nothing in this licence limits your rights under those licences. See Third-Party Notices (also included with the downloads) for the list and licences.
10. Export and sanctions
You may not use, export or re-export the Software in breach of sanctions or export-control laws that apply to you. Our payment partner may refuse orders it cannot process under the laws that apply to it.
11. General
- Whole agreement. This licence, the Terms of Sale, the Refund Policy, the Privacy Policy and the Disclaimer are the whole agreement between us about the Software.
- Transfer. You may not transfer this licence without our written (email) consent. We will normally agree if you are selling your business together with the routers it runs on. Routers you have handed over to clients do not need a transfer (see section 2).
- If part is invalid, the rest still applies.
- No waiver. If we do not enforce a term straight away, we can still enforce it later.
- Governing law and disputes are set out in the Terms of Sale.
- Changes. We may update this licence for future purchases and updates. The version you accepted continues to apply to the version of the Software you bought.
